1. Acceptance of these Terms

By accessing or using Topic Wars (the "Site", "Service", "we", "us", or "our"), including browsing content, creating an account, posting debates, discussions, polls, versus matchups, reviews, how-tos, or any other content (collectively, "User Content"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy.

If you do not agree to these Terms, you may not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you represent that you have permission from a parent or legal guardian to use the Service. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations where you live.

3. Accounts & Security

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information when registering.
  • Maintain and promptly update your information as needed.
  • Keep your login credentials confidential and secure.
  • Notify us immediately if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not you authorized it. We reserve the right to suspend or terminate accounts that violate these Terms or appear compromised.

4. User Conduct

Topic Wars is a place for strong opinions, not abuse. By using the Service, you agree that you will not:

  • Harass, threaten, bully, or otherwise abuse other users.
  • Post hateful, discriminatory, or inciting content based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
  • Post illegal content or encourage illegal activities.
  • Post pornographic, sexually explicit, or otherwise NSFW content.
  • Share private or personal information of others ("doxxing") without consent.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Spam, run scams, or engage in deceptive or fraudulent behavior.
  • Interfere with the normal functioning of the Service, including by using bots, scrapers, or other automated means not explicitly allowed.
  • Attempt to gain unauthorized access to any part of the Service or its systems.

5. User Content & License

By submitting, posting, uploading, or otherwise providing any content to the Service ("User Content"), you irrevocably assign and transfer to Topic Wars all right, title, and interest in and to that User Content, including all associated intellectual property rights, to the fullest extent permitted by law.

This means Topic Wars and our successors and licensees will be the owner of the User Content and may use it for any lawful purpose, including hosting, storing, reproducing, modifying, adapting, publishing, translating, creating derivative works from, distributing, publicly performing, publicly displaying, promoting, marketing, or otherwise exploiting the User Content in connection with the Service or any other projects, in any media now known or later developed, without further notice, approval, or compensation to you, except where an Earnings Program page clearly states otherwise.

To the extent that any assignment in this section is not effective under applicable law, you grant Topic Wars a perpetual, worldwide, irrevocable, royalty free, fully paid up, sublicensable, and transferable license to exercise all rights in the User Content as described above.

You also waive, to the fullest extent permitted by law, any moral rights or similar rights you may have in the User Content, including rights of attribution or integrity, and you agree not to assert such rights against us or our licensees.

You represent and warrant that:

  • You are the sole author and owner of the User Content or otherwise have full authority to assign and license the rights described in this section.
  • Your User Content does not infringe or violate the rights of any third party, including copyright, trademark, privacy, or publicity rights.
  • Your User Content complies with these Terms and all applicable laws.

We may, but have no obligation to, review, monitor, edit, or remove User Content at our sole discretion if it appears to violate these Terms, applicable law, or may harm the Service or other users.

6. Community Features: Debates, Versus, Polls & Discussions

Topic Wars encourages open discussion, debate, and comparison of ideas, products, services, and opinions. You acknowledge that:

  • Content posted by users reflects the views of the individuals who created it, not the views of Topic Wars.
  • We do not endorse, verify, or guarantee the accuracy of any User Content.
  • You should exercise critical judgment when acting on information or opinions found on the Service.

7. Earnings, Rewards & "Write for Us"

From time to time, Topic Wars may offer programs where eligible users can earn money or rewards for creating or contributing content (for example, the "Write for Us" program or similar initiatives) (collectively, the "Earnings Program").

Unless otherwise stated in a dedicated Earnings Program page or policy:

  • All payout rates, thresholds, and eligibility requirements are subject to change at any time, with or without prior notice.
  • We may require a minimum balance before processing a payout, as stated on the relevant Earnings Program page.
  • You are solely responsible for any taxes or reporting obligations related to your earnings.
  • We reserve the right to withhold or reverse earnings in cases of suspected fraud, manipulation, spam, abuse, or violations of these Terms.
  • Earnings are not guaranteed and may depend on factors such as traffic quality, advertiser demand, budget, and internal review.

Detailed rules for payouts, eligible content types, and minimum cashout amounts are described on the relevant Earnings Program or "Write for Us" page. Those rules are incorporated into these Terms by reference.

8. Advertiser Program and Ad Campaign Terms

Topic Wars offers an advertiser platform (the "Advertiser Program") that allows approved advertisers to create and run advertising campaigns ("Ad Campaigns") across the Site. By creating an advertiser account, submitting creatives, funding campaigns, or running ads, you agree to the terms in this section in addition to the rest of these Terms.

8.1 Advertiser accounts

  • You must provide accurate company and contact information and keep it current.
  • You are responsible for all activity under your advertiser account, including campaigns created by any authorized user.
  • We may require verification, additional information, or documentation before approving an advertiser account or campaign.
  • We may suspend, reject, or terminate advertiser accounts or campaigns at any time if we believe there is a risk of fraud, policy violations, legal issues, user harm, or platform integrity issues.

8.2 Campaign approval and review

  • All Ad Campaigns are subject to review and approval before becoming active.
  • Approval is at our sole discretion and may be revoked at any time.
  • We may request edits to ad text, images, landing pages, targeting, bids, budgets, or placement selection before approval.
  • We may pause campaigns automatically or manually for policy, budget, quality, safety, or technical reasons.

8.3 Creative requirements and prohibited content

Advertisers must ensure ad creatives and landing pages are accurate, lawful, and non deceptive. Without limiting other restrictions in these Terms, Ad Campaigns must not:

  • Contain misleading claims, false pricing, fake endorsements, impersonation, or manipulated reviews.
  • Use malware, phishing, credential harvesting, forced redirects, pop ups, auto downloads, or other harmful behavior.
  • Promote illegal products or services or facilitate illegal activity.
  • Promote adult content, explicit sexual content, or pornography.
  • Promote hate, harassment, discrimination, or violence.
  • Promote dangerous, harmful, or exploitative content or products.
  • Include content that infringes intellectual property rights, including unauthorized use of trademarks or copyrighted material.
  • Use excessively disruptive creatives, including flashing images, fake system alerts, or deceptive buttons meant to trick clicks.

We may apply additional restrictions for specific industries, placements, or user safety considerations.

8.4 Targeting and keywords

  • Advertisers may target keywords supported by our system. Keyword targeting availability may change over time.
  • You represent that your targeting choices comply with applicable law and do not violate user privacy or sensitive category rules.
  • We may restrict or disable targeting options at any time for legal, safety, or platform quality reasons.

8.5 Billing, pricing, budgets, and caps

  • Pricing depends on placement and may be based on cost per click (CPC), cost per thousand impressions (CPM), or both.
  • Placement minimums, rate floors, available placements, and pricing are subject to change at any time.
  • CPC clicks are measured as unique per 24 hours per user or per device and may include other anti fraud logic.
  • Impressions are counted per view and are not required to be unique.
  • Daily caps (click and impression limits) apply on a rolling 24 hour basis and may not align exactly with calendar days.
  • Max spend limits restrict campaign spend but may not stop delivery immediately at the exact limit due to timing, caching, reporting delays, or technical issues.
  • If a campaign reaches a budget or cap, it may pause automatically until it becomes eligible again (for example, after a cap window resets or after a budget increase).

8.6 Tracking, reporting, and measurement

  • We track clicks and impressions using our own systems. Reported metrics are estimates and may vary due to filtering, deduplication, caching, ad blockers, latency, or invalid traffic protection.
  • We may discount or invalidate clicks or impressions we believe are fraudulent, incentivized, automated, or otherwise low quality.
  • You agree not to attempt to interfere with, reverse engineer, or manipulate our tracking or reporting.

8.7 Refunds and credits

  • All advertising purchases are final unless required by law or we decide otherwise at our sole discretion.
  • We may issue credits (not cash refunds) for verified technical failures or significant discrepancies, as determined by us.
  • Credits, if any, may be applied to future advertising only and may expire.

8.8 Advertiser responsibilities and indemnity

  • You are solely responsible for your ads, landing pages, products, services, offers, and claims.
  • You agree to comply with all applicable laws, including consumer protection, advertising disclosure rules, privacy regulations, and intellectual property law.
  • You agree to indemnify and hold harmless Topic Wars from claims arising from your advertising, landing pages, products, or services.

8.9 Enforcement

Violations of the Advertiser Program rules may result in campaign rejection, campaign pausing, account suspension or termination, withholding of service, or other actions we deem appropriate. We may take action without notice where necessary to protect users, the Service, or platform integrity.

9. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including but not limited to the design, trademarks, logos, graphics, code, and other materials, are owned by or licensed to Topic Wars and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code, unless laws prohibit those restrictions or you have our written permission.

10. Third-Party Links & Services

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party site or service. Accessing third-party resources is at your own risk and subject to their terms and policies.

11. Moderation & Enforcement

We may, in our sole discretion, review, moderate, edit, remove, or restrict access to any User Content or account, with or without notice, including but not limited to situations where we believe there is:

  • A violation of these Terms or other site policies.
  • A risk of harm, harassment, or abuse toward other users.
  • Illegal activity, fraud, or security concerns.

Our moderation decisions are final. We are not obligated to explain specific moderation actions, though we may choose to do so at our discretion.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason, including if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms that by their nature should survive termination (such as ownership, licenses granted, disclaimers, limitations of liability, and indemnification) will continue to apply.

13. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CONTENT, USER CONTENT, ADS, AND FEATURES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPIC WARS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

TOPIC WARS DOES NOT PROVIDE LEGAL, FINANCIAL, MEDICAL, OR PROFESSIONAL ADVICE. ANY INFORMATION OR OPINIONS PROVIDED THROUGH THE SERVICE ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPIC WARS, ITS OWNERS, OPERATORS, AFFILIATES, PARTNERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPIC WARS WILL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM OR RELATED TO (A) USER CONTENT OR THIRD PARTY CONTENT, (B) THIRD PARTY LINKS, PRODUCTS, SERVICES, OR OFFERS, (C) ADS OR ADVERTISER CONTENT OR YOUR INTERACTIONS WITH ADVERTISERS, (D) UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR DATA, (E) SECURITY BREACHES, OR (F) ANY ERRORS OR OMISSIONS IN ANY CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US (IF ANY) IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.00.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Topic Wars and its owners, operators, affiliates, partners, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your User Content;
  • Your advertising or Ad Campaigns (if you are an advertiser);
  • Your violation of these Terms; or
  • Your violation of any rights of another person or entity.

16. Disputes, Venue, and Attorneys' Fees

You agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved in accordance with applicable law and the rules below, to the maximum extent permitted by law.

  • Informal resolution first: Before filing a lawsuit, you agree to contact us at support@topicwars.com and allow a reasonable opportunity to resolve the issue informally.
  • Venue: Where permitted by law, you agree that any legal action must be brought in a court of competent jurisdiction in our chosen venue, and you consent to personal jurisdiction there.
  • Attorneys' fees and costs: To the maximum extent permitted by law, the prevailing party in any dispute or proceeding will be entitled to recover its reasonable attorneys' fees and court costs from the other party. In addition, if a court determines that a claim was brought in bad faith, for an improper purpose, or was frivolous, you agree to reimburse Topic Wars for its reasonable attorneys' fees and court costs incurred in defending against that claim.

This section does not remove any consumer rights you cannot waive under applicable law.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. In some cases, we may provide additional notice (such as a banner, email, or in-app notification).

Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
